These Terms of Service (Terms) govern your access to and use of the Imagit online store (Site) operated by Imagit Inc., a Florida S-corporation (Imagit, we, us, or our). By placing an order or using this Site, you agree to be bound by these Terms. These terms and conditions supersede all prior agreements between parties. If you do not agree, do not use this Site.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding agreement. If purchasing on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

2. Products & Descriptions

  • All products are described as accurately as possible. Specifications are provided by the manufacturer and Imagit does not independently verify every specification.
  • Product images are representative. Actual products may vary in packaging, labeling, or minor cosmetic details.
  • We reserve the right to limit quantities, refuse any order, or cancel orders at our sole discretion, including orders that appear to be placed by resellers, bots, or through fraudulent means.
  • Typographical errors in pricing do not constitute a binding offer. We reserve the right to cancel orders placed at an incorrect price.
  • Imagit assumes that all hardware and software purchased are compatible with the buyer's intended environment. Compatibility guidance is provided as a courtesy and does not constitute a guarantee.

3. Procurement & Order Processing

  • Imagit will provide expected delivery dates and tracking information for all orders.
  • Your receipt of an order confirmation does not constitute acceptance. Acceptance occurs when the product ships.
  • We may cancel any order prior to shipment for any reason, including but not limited to: pricing errors, suspected fraud, product unavailability, or credit verification failure.

4. Pricing & Payment

  • All prices are in USD and exclude applicable taxes unless otherwise stated.
  • Sales tax is calculated and applied based on your shipping destination in accordance with applicable state and local tax laws.
  • We accept payment via Shopify Payments (Visa, Mastercard, American Express, Apple Pay, Google Pay).
  • PO/Net-30 terms are available for qualified businesses upon approved credit application. All invoices under Net-30 terms are due Net 30 from the invoice date unless otherwise agreed upon in writing.
  • Payment must be received in full before shipment unless Net-30 terms have been approved in writing.

5. Late Payment & Collections

  • If an invoice remains unpaid 10 days past the due date, a 3% late fee will be applied to the outstanding balance.
  • If the invoice remains unpaid 30 days past the due date, an additional 5% late fee will be applied.
  • If the invoice remains unpaid 60 days past the due date, an additional 8% late fee will be applied.
  • In addition to the above penalties, interest will accrue at a rate of 1% per month, compounded monthly, on each past-due invoice until paid in full.
  • If an invoice remains unpaid 90 days past the due date, the account may be placed in collections, and the client will be responsible for all reasonable collection, legal, and enforcement costs incurred.
  • Clients must notify Imagit of any invoice disputes within 14 days of the invoice date. Disputes submitted after this period will not exempt the client from late fees or accrued interest.

6. Shipping & Delivery

  • We ship to all 50 US states and Canada. International shipping available upon request.
  • Shipping estimates are not guaranteed delivery dates. Imagit is not liable for carrier delays, weather, customs, or other circumstances beyond our control.
  • Title and risk of loss pass to the buyer upon delivery to the carrier (FOB Origin).
  • All enterprise hardware shipments are insured during transit at no additional cost to the buyer.
  • It is the buyer's responsibility to inspect shipments upon delivery and report damage within 48 hours.
  • Client shall verify that all equipment, supplies, and materials have been received and are on-site and available. Client assumes full responsibility for equipment when it reaches the Client site.
  • If Imagit ships equipment to the client location, Imagit assumes no liability for equipment damage and/or loss associated with the relocation of any equipment to any location other than the initial delivery location.

8. Warranty & Disclaimers

  • Hardware products carry the manufacturer's warranty only. Imagit does not provide any additional warranty beyond the manufacturer's warranty.
  • Imagit is not providing any warranty regarding, and is not liable for, any third-party software, documentation, equipment, tools, or other products or materials, even if recommended by Imagit.
  • The services and advice provided by Imagit may include recommendations, but the Client agrees that all decisions in connection with the implementation of such advice and recommendations will be the responsibility of, and made by, the Client.
  • IMAGIT EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • EACH PARTY ACKNOWLEDGES THAT NEITHER MAKES ANY REPRESENTATION OR WARRANTY (EXPRESS OR IMPLIED) AS TO THE ACCURACY OR COMPLETENESS OF ANY PRODUCT INFORMATION, AND AGREES TO ASSUME FULL RESPONSIBILITY FOR ALL CONCLUSIONS IT MAY DERIVE THEREFROM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IMAGIT'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR ANY PRODUCT SHALL NOT EXCEED THE PURCHASE PRICE OF THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.

IN NO EVENT SHALL IMAGIT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITY, OR GOODWILL, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Imagit assumes no liability for data loss. Customer is strongly encouraged to backup and validate data on all affected systems prior to deploying any hardware purchased from Imagit.

10. Indemnification

You agree to indemnify, defend, and hold harmless Imagit Inc., its officers, directors, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of any product purchased from Imagit, your breach of these Terms, or your violation of any law or third-party rights.

11. Intellectual Property

All content on this Site — including text, graphics, logos, images, and software — is the property of Imagit Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. All Imagit Intellectual Property shall remain the property of Imagit, and Imagit does not assign or transfer any ownership interest in any Imagit Intellectual Property.

12. Confidentiality

Any pricing, quotes, technical specifications, or business information shared between Imagit and the buyer in connection with a purchase or inquiry shall be treated as confidential. Neither party shall disclose the other party's confidential information without prior written consent, except as required by law.

13. Prohibited Uses

  • Use automated systems (bots, scrapers) to access or interact with the Site
  • Place fraudulent orders or use stolen payment methods
  • Resell products purchased from Imagit without prior written authorization
  • Interfere with the operation of the Site or attempt to gain unauthorized access

14. Export Compliance

Both parties shall adhere to U.S. Export Administration Laws and Regulations and shall not export or re-export any technical data or products received from the other party to any proscribed country listed in the U.S. Export Administration Regulations unless explicitly authorized by the U.S. Government. TAA-compliant products are identified in their product descriptions.

15. Software Licensing

Imagit does not support unlicensed software. If any product includes software components, the buyer is responsible for ensuring compliance with all applicable software license terms. Imagit is not liable for any software licensing disputes.

16. Force Majeure

Imagit shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, labor disputes, supply chain disruptions, government actions, or carrier failures.

17. Dispute Resolution & Governing Law

  • Governing Law: These Terms shall be governed by and construed in all respects in accordance with the laws of the State of Florida, regardless of principles of conflicts of laws.
  • Jurisdiction: Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Palm Beach County, Florida.
  • Arbitration: For claims under $50,000, either party may elect binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
  • Prevailing Party: In the event either Party initiates a formal legal proceeding, the prevailing Party shall be entitled to collect, in addition to costs of that action, its reasonable attorney's fees.

18. Irreparable Harm

Each Party agrees that any breach or threatened breach of these Terms may cause irreparable harm for which monetary damages may be difficult to ascertain or an inadequate remedy, entitling the other Party to seek injunctive relief without the need to post any bond.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be deemed stricken and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and Imagit with respect to your use of the Site. No amendment, change, or modification shall be valid unless in writing signed by both parties.

21. Electronic Signatures

These Terms may be executed and delivered electronically, and electronic acceptance shall have the same force and effect as a physical signature.

22. Sales and Use Taxes

We do not collect sales or use taxes in all states. For states imposing sales or use taxes, your purchase is subject to use tax unless it is specifically exempt from taxation. Your purchase is not exempt merely because it is made by remote means. Many states require purchasers to file a sales/use tax return at the end of the year reporting all taxable purchases that were not taxed and to pay tax on those purchases.

23. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes may require additional confirmation and acceptance. Continued use of the Site after changes constitutes acceptance of the updated Terms.
